Definition of Corporate Governance

Corporate governance defines how companies direct and control their operations, shaping the relationships among shareholders, the board of directors, management, and other stakeholders. This framework ensures that businesses operate responsibly and remain accountable to all parties involved. Through proper governance, organizations can build trust and long-term value. In Indonesia, the importance of corporate governance has grown significantly alongside increasing demands for transparency, accountability, and ethical business practices.

After the 1998 financial crisis, Indonesia began focusing on good corporate governance (GCG). This strategy aimed to restore investor confidence and stabilize the economy. Establishing the National Committee on Governance Policy (KNKG) and issuing the General Guidelines for Good Corporate Governance were key steps. These efforts helped align Indonesian business practices with international standards.

Effective corporate governance provides numerous benefits, including boosting investor trust, minimizing internal corruption risks, and improving decision-making efficiency. Public companies under the supervision of the Financial Services Authority (OJK) are required to adopt the core principles of governance: transparency, accountability, responsibility, independence, and fairness.

Nevertheless, challenges remain. Some companies still struggle with conflicts of interest, weak supervisory roles by boards of commissioners, and insufficient transparency in reporting. Addressing these issues requires a strong commitment from management, regulators, and stakeholders to continuously improve governance systems and corporate culture.

Looking ahead, strengthening corporate governance in Indonesia will require integration of technology, enhancement of human resource capabilities, and a firm stance on law enforcement without favoritism. With a solid governance foundation, Indonesian companies can grow sustainably and compete more effectively in the global market.
